EwiiTech, a company registered in Montreal, Quebec, Canada, is committed to safeguarding the confidentiality of our clients’ information. This Confidentiality Agreement outlines our obligations to protect any proprietary or confidential information shared with us in the course of providing our services.
1. Confidential Information
“Confidential Information” refers to any non-public information disclosed by the client to EwiiTech, whether orally, in writing, or through any other means. This may include, but is not limited to:
- Business strategies
- Technical data
- Customer lists
- Financial information
- Trade secrets
- Intellectual property
- Project details
- Software, applications, and related documentation
- Any other proprietary information provided during our services
2. Obligations of EwiiTech
EwiiTech agrees to:
- Use the Confidential Information solely for the purpose of providing services, including Website Development, App Development, SAAS Development, Software Maintenance, Custom Software Development, and Server Setup & Migration.
- Keep all Confidential Information strictly confidential and not disclose it to any third parties without the express written consent of the client, except as required by law.
- Implement appropriate safeguards and security measures to protect the confidentiality of the information.
- Ensure that any employees, contractors, or agents who may have access to the Confidential Information are bound by confidentiality obligations no less stringent than those in this Agreement.
3. Exclusions
The obligations of confidentiality do not apply to information that:
- Was publicly known or made generally available prior to the time of disclosure by the client.
- Becomes publicly known or made generally available after disclosure through no action or inaction of EwiiTech.
- Is in EwiiTech’s possession, without restriction in relation to disclosure, before the disclosure by the client.
- Is independently developed by EwiiTech without use of or reference to the client’s Confidential Information.
4. Return or Destruction of Information
Upon request by the client or upon the completion of services, EwiiTech agrees to promptly return or destroy all copies of the Confidential Information in its possession.
5. Governing Law
This Confidentiality Agreement shall be governed by and construed in accordance with the laws of the Province of Quebec, Canada.
6. Amendments
This Confidentiality Agreement may be amended or modified only in writing, signed by both EwiiTech and the client.
7. Entire Agreement
This Agreement constitutes the entire understanding between EwiiTech and the client concerning the confidentiality of information and supersedes any prior agreements, discussions, or understandings.
